Steven Roseman, Esq.

Steven A. Roseman is the founder and managing partner of Roseman Law, APC, a full-service real estate and business law firm specializing in Common Interest Developments with offices throughout California.

Mr. Roseman has more than 30 years of experience in representing common interest developments, including homeowners’ associations and co-operatives in a variety of legal matters. He serves as general counsel, dealing with both transactional and litigation matters. Mr. Roseman has significant trial experience, trying more than forty-three jury trials, bench trials and arbitration proceedings on behalf of his clients and attended countless mediations.

Mr. Roseman has unique real estate experience. In addition to representing common interest developments and property owners in all facets of real estate matters, he also has substantial knowledge in dealing with local governments, including City, County, Coastal Commission, and State agencies on behalf of his clients. He has also served as a commissioner on the Planning Commission and chaired the Historic Preservation Commission for the City of Calabasas. Mr. Roseman has lectured extensively in this and other areas of the law both locally and at a national level. He is actively involved in legislative action at a State Level, addressing issues that directly impact common interest developments and real estate.

Mr. Roseman also handles diverse real estate matters, ranging from easement issues and eminent domain disputes, and has drafted and negotiated all forms of transactional documents, including construction agreements, loan documents, finance legal opinions, and governing document restatements. In addition, Mr. Roseman has structured numerous business and real estate deals and acquisitions/sales, providing legal guidance in entity formation, drafting and negotiating buy-sell/shareholders agreements, operating agreements, and other corporate and transactional-related documents.

Mr. Roseman is actively involved in numerous leadership organizations. He is a member of the California and Nevada State Bar Associations and is an active member of the two most prominent trade groups in the common interest development arena—California Association of Community Managers (CACM) and the Community Associations Institute (CAI). Mr. Roseman serves on the faculty of CACM and lectures extensively all over California teaching CACM‘s C-CAM manager certification, which includes the large-scale management certification, high-rise management certification, legal, ethics, and accounting sections of the certification programs. Mr. Roseman has served on the Board and was a Past President for CAI Channel Islands Chapter. In addition, he has served as the chair of the Mediation Steering Committee for CAI Greater Los Angeles. He also serves as the co-chair for the membership committee for CAI Coachella Valley chapter. His involvement in the Legislative Action Committee (CLAC) earned him Emeritus status for CLAC.

Mr. Roseman has received numerous awards during his career. A few of those awards include “Speaker of the Year” Awards from various organizations both. In 2016, Mr. Roseman was the recipient of the “William S. Dunlevy” Award for his article published in the CAI Channels of Communication, and the 2013 “Speaker of the Year” Award by the CAI-Channel Islands Chapter. Mr. Roseman has been nominated consecutively since 2014 to present as “Speaker of the Year” by the CAI-Orange County Chapter and in 2016 was selected as “Speaker of the Year” by CAI National submitted by the Greater Los Angeles Chapter. In 2021, he also received an “Excellence in Community Associations Leadership” Award from CAI for his significant contribution to the industry. In 2024, Mr. Roseman was the recipient of the CACM “Educational Excellence” Vision Award for his exceptional commitment to providing outstanding educational opportunities to the members and managers of CACM. In 2023, he spoke at a national level at the Clio-Con conference in Nashville, Tennessee, to over 5000 attendees, speaking on “growth management” and transitioning businesses, both technologically and culturally to the new world of virtual and hybrid working environments.

Mr. Roseman has also been retained on a number of occasions as an expert witness on behalf of Board of Directors and Owners concerning matters pertaining to Common Interest Developments and has testified in depositions and as an expert witness in trial.

Mr. Roseman has been selected each year since 2015 as a California “Super Lawyer”. Super Lawyer is a rating for outstanding lawyers, selected by their peers for professional achievement, and less than 5% of attorneys achieve this recognition.

Mr. Roseman served on the Board of Directors of the Juvenile Diabetes Research Foundation (JDRF), an organization striving to find a cure for children and adults suffering from Type 1 diabetes. In addition to other sports activities, Mr. Roseman is an avid runner, tennis player, and “Tough Mudder” competitor and participated in the annual “Mudd Run” runs at Camp Pendleton together with the Marines and other members of Roseman Law, APC, benefiting the Armed Forces Services and Wounded Warrior Project. He has completed a number of half-marathon races.

Jacqueline Pagano, Esq.

Jacqueline Pagano, Esq., is a Partner with Roseman Law, APC and oversees the firm’s Orange County Office.

Ms. Pagano is a community association attorney with litigation, appellate, and transactional experience. She has fifteen years of experience representing community associations, developers, and property owners within common interest developments and extensive knowledge of the issues impacting community associations.

As corporate counsel to residential and commercial community associations, Ms. Pagano regularly advises boards of directors on compliance with current laws, assessment collections, interpretation and enforcement of governing documents, negotiating and drafting contracts, covenants, and easements, and drafting amendments and restatements of governing documents. She also represents her community association clients in alternative dispute resolution.

What Ms. Pagano enjoys most about being a member of Roseman Law is having the ability to work with and get to know clients from all over Southern California and being a part of a team whose members truly put each other and their clients first.

Ms. Pagano received her Juris Doctor from the University of Southern California, Gould School of Law in 2009, where she received an academic merit scholarship. She received her B.A. from the University of Southern California in 2006 and graduated Cum Laude. She has been a member of the California Bar since 2009 and is licensed to practice before all courts in the State of California.

Ms. Pagano is an active member of the Community Association Institute (CAI), where she has served on the Publications Committee for the Orange County Chapter since 2016. She has authored a number of articles pertaining to common interest development law and is a frequent contributor to OC View. Ms. Pagano is also a member of the California Association of Community Managers (CACM) and is active in various USC Alumni Associations.

Patrick M. Malone, Esq.

Patrick M. Malone is a partner with Roseman Law, APC. Prior to joining the team, Mr. Malone accrued significant civil litigation experience, specifically with general liability and real estate/property disputes, including construction matters. In addition to that experience, Mr. Malone has litigated within a variety of other legal specialties, including but not limited to family law, landlord-tenant, probate, employment, and civil rights contexts. He has tried cases to verdict and is particularly well versed in motion practice of all relevant types, having successfully argued many dispositive or otherwise highly contentious applications and petitions. He has acted on behalf of both individuals and entities, as plaintiffs and defendants.

Mr. Malone graduated with honors from Antioch University with a degree in Liberal Studies and cum laude from the University of West Los Angeles, where he obtained is Juris Doctor, finishing at the top of his class. While in law school, Mr. Malone earned a spot on the Dean’s List each semester of his attendance in addition to a Witkin Award for academic excellence in Constitutional Law and participated in the Moot Court Honors Program.

Mr. Malone spends most of his personal time with his family, including his wife and three children.

Jennifer James, Esq.

Jennifer L. James, Esq. received her law degree from Washburn University School of Law in 2001 and completed a comparative legal study program in London, England. She began her undergraduate studies at Vanderbilt University, participated in a selective study abroad program in Sweden, where she quickly learned Swedish to excel in what was supposed to be an English-speaking program, and graduated Magna Cum Laude from Utah State University with a Bachelor of Science in Education and emphasis in Mathematics. Ms. James is licensed to practice law in California, Nevada, and Utah.

Before practicing law, Ms. James taught U.S. and World History in the Clark County School District. Her background in education equips her with the unique ability to simplify and clearly explain complex concepts to her clients. In 2004, she began her legal career with a law firm in Las Vegas, Nevada, where she focused on representing community associations. In 2006, she relocated to the Coachella Valley and served as in-house counsel for a residential developer, where she managed development issues and forward planning. 

In 2008, Ms. James took on the role of establishing and managing the Palm Desert satellite office for one of the largest community association law firms in Southern California. There, she supervised staff and managed community association matters, including assessment collections, for Coachella Valley clients. Mrs. James also began providing voluntary legal guidance to the Desert Cities HOA Council in 2008, regularly attending monthly meetings to assist with legal questions. She continued this involvement for many years, demonstrating her commitment to supporting community associations. Additionally, Ms. James has been an active participant in the Desert Bar Association, where she notably serves as the choreographer and dancer in the annual Bird Award Show. In 2023, she was honored with the Lifetime Achievement Award for her selfless hours of service and dedication to the legal community.

Continuing to provide exceptional legal services with a hands-on approach, Ms. James established her own law practice in 2014. In August 2024, she joined Roseman Law, bringing her extensive experience and deep commitment to community association law. 

Ms. James has been an active member of the Community Association Institute (CAI) chapters in Nevada and California since 2004, having served on the Board of Directors for CAI Coachella Valley and participating in various committees. She regularly contributes articles to the HOA Living magazine and has served as an instructor for the CAI California Law Course.

In her personal time, Ms. James enjoys quality time with her family (which includes several fur babies), hiking, salsa dancing, and volunteering in her community. She has been her daughter’s Girl Scout troop leader since 2015 and was one of the very first Zumba instructors in Coachella Valley, even being featured in one of the original Zumba infomercials. Her volunteer work includes contributions to Big Brothers/Big Sisters of America, the Special Olympics, and a 24-hour mobile crisis team. Ms. James is also a former licensed Emergency Medical Technician and was recognized for her service as a Court Appointed Special Advocate during law school, as well as for her efforts in providing legal education to students in Las Vegas, Nevada. She continues to mentor law students from Washburn school of Law.

Sophie Haimof, Esq.

Sophie Haimof is a Senior Attorney with Roseman Law, APC. At Roseman Law, Ms. Haimof’s main work has been with the firm’s HOA, Real Estate and Business departments. As corporate counsel to residential community associations, Ms. Haimof advises volunteer board members on compliance with applicable law, interpretation, and enforcement of governing documents, negotiating, and drafting contracts, licenses, and easements, and drafting amendments and restatements of governing documents. As corporate counsel to business clients and real estate development companies, she works closely with her clients to understand their legal and business objectives and uses those objectives to provide practical advice on issues regarding enforcement of contracts, contract negotiation, risk assessment and avoidance.

Ms. Haimof believes that the success of her client is also her success. One of her favorite success stories as a member of Team Roseman is she was able to successfully assist in reaching an agreement with the developer of a large project in a mixed association that was slated to cause many logistical, public health and safety problems for the members of the association. In order to do so, Ms. Haimof spent many months working closely with the Board and appeared at several planning commission hearings.

Ms. Haimof is an active member of the Community Associations Institute (CAI) and serves on the Programs Committee of the Greater Los Angeles Chapter of CAI. She earned her Juris Doctor from Loyola Law School, Los Angeles, where she was selected as a Scholarship Recipient. Ms. Haimof earned her Bachelor of Science in Business Administration, with a concentration in Business Law and a minor in Management at California State University, Northridge, where she received the Department of Business Law Outstanding Scholastic Achievement Award and was on the Dean’s Honors List in recognition of her academic achievements. Ms. Haimof combines her knowledge of the law with her backgrounds in real estate, business, and management to successfully advance her client’s interests.

As a law student, she was appointed to be a Loyola Ambassador and served to facilitate communication among faculty, administration, alumni, and students as an elected member of the Student Bar Association.

Prior to joining our team, Ms. Haimof worked for a boutique law firm where she developed and drafted estate plans and advised clients on protection of their assets, including retirement plans, life insurance policies, business interests and real property. In addition, she represented clients in general civil litigation matters, including personal injury and premises liability claims. She has experience negotiating claims with insurance carriers and drafting various pleadings in connection with general civil litigation matters.

Prior to practicing law, Ms. Haimof gained experience in real estate while working at a commercial real estate firm. She currently holds a real estate salesperson license.

Karina Babikian, Esq.

Karina Babikian, Esq. is an attorney with Roseman Law, APC. At Roseman Law, Ms. Babikian works on litigation and transactional matters for our clients. She regularly advises boards of directors on interpretation and enforcement of governing documents, drafting and negotiating contracts, licenses and easements, and drafting amendments and restatements of governing documents.

Prior to joining our firm, Ms. Babikian worked at a boutique law firm practicing real estate and business law. She has gained experience in all areas of real estate law – including transactional and litigation matters. She provided general counsel services for business and corporate clients as well as advising on transactional, regulatory, and insurance matters. Ms. Babikian believes that the collaborative style and the client-focused approach of Roseman Law are key in providing exceptional service to our clients.

Ms. Babikian earned her Bachelor of Arts in English, with a minor in Politics, from La Sierra University where she was on the Dean’s List in recognition of her academic achievements and graduated Cum Laude. She earned her Juris Doctor from Chapman University School of Law where she was part of the Mediation Clinic, a member of the Public Interest Law Foundation, and received a Commitment to Service Award for Pro Bono Legal Work in Government Service.

Michael D. Poole, Esq.

Michael D. Poole is a senior attorney with Roseman Law, APC. Prior to joining the team, Mr. Poole first gained civil litigation experience involving consumer protection, partnership disputes, labor, personal injury, and intellectual property matters. Long maintaining an interest in civil liberties and constitutional law, Mr. Poole also expanded his legal knowledge and skillset through the incorporation of criminal defense into his practice. Through regular and intensive criminal court appearances in both state and federal court, Mr. Poole acquired additional legal experience and skills,
particularly with respect to oral arguments and negotiation. Subsequently, using this broad legal foundation, Mr. Poole decided to focus his practice of law on homeowners associations and other common interest developments, where he is experienced with corporate counsel, association specific litigation, and assessment collection.

Mr. Poole graduated cum laude from the University of Southern California in 2008. He earned a Bachelor of Science in Business Administration from the Marshall School of Business where he was on the Dean’s List each semester. David Kline, Esq.

David Kline is a seasoned attorney with over 20 years of experience advising homeowners associations and common interest developments on a wide spectrum of legal issues. David also brings a strong foundation in civil rights law, having previously served as counsel for a nonprofit civil rights advocacy organization. Carrie Heieck, Esq.

Carrie Heieck is an accomplished litigator who has zealously and effectively represented community associations, corporations, individuals, and small businesses throughout her career. Over the last ten years, Ms. Heieck has almost exclusively represented California homeowners associations and enjoys the strong relationships she has built with the communities she represents.

As a problem solver who seeks out practical solutions for her clients on often complex issues in an ever-changing legal landscape, community association law is a practice area for which Carrie has a special affinity.

In her early career, Ms. Heieck practiced in a variety of practice areas including family law, probate, and civil litigation, where she found herself in court on a nearly daily basis arguing at motions, evidentiary hearings, and trials. There, she discovered her flair not just for litigating, but for winning cases even before trial with her well-researched and drafted motions and briefs and through targeted discovery. Settling cases is also her strong suit, as it is often the best route to avoiding a costly jury trial. But she will aggressively litigate if such a strategy is in her client’s best interest.

She has garnered some notable victories in her career. She won a large settlement against a national grocery store chain, an appellate case for her client, a lender, in a wrongful foreclosure case which was published (Calvo v. HSBC Bank, 199 Cal.App.4th 118 (2011)), and a multi-million-dollar case at a week-long probate trial. In the homeowners’ association context, she has helped her clients purchase and sell golf courses, won a hoarding case resulting in a forced sale through probate and a $400,000 attorney fee award, including prevailing at the appeal, numerous motions for summary judgment, and breach of governing document cases dealing with issues including maintenance obligations and architectural violations.

Carrie currently serves as the Chair of the CAI San Diego Publications Committee, which publishes a quarterly magazine, Community Insider, for the community association industry. Her published article, “Collection and Enforcement Against Deceased Homeowners,” won the 2024 Author of the Year award. Carrie has spoken at numerous community association educational seminars and trainings and is passionate about education, as educated boards and homeowners result in the strongest and most well-run communities.

On a personal level, Carrie is a devoted wife and mom of four children living in North County San Diego, where she is embracing the empty-nester life as an avid hiker, traveler, foodie, and amateur photographer. She loudly cheers for her daughters’ schools, Vanderbilt and UC San Diego, and is also a proud military mom.

Robert Velasquez, Esq.

Robert M. Velasquez is an Attorney with Roseman Law, APC. Mr. Velasquez’s prior experience includes work for a tax resolution company where he negotiated the resolution of tax issues with the Internal Revenue Service and state tax entities on behalf of individuals and businesses, as well as work in the areas of workers’ compensation defense, employment law litigation, and counseling for employers. Mr. Velasquez also served as Corporate Counsel for a global provider of electronic test and measurement equipment.

At Roseman Law, Mr. Velasquez’s main work is as the Managing Collection’s Attorney in the firm’s Assessment Collections Department, assisting community associations with the collection of delinquent association assessments and foreclosures. Mr. Velasquez and his team have successfully collected in excess of $1,000,000.00 in delinquent assessments, with community association’s recovering most or all of the fees and costs incurred for the collection of the delinquent assessments. Mr. Velasquez also assists community association boards of directors with a wide range of other issues including compliance with current laws, dispute resolution, interpretation and enforcement of governing documents, amendments to governing documents, preparation of contracts, and negotiation of secured loan documents.

When reflecting upon his time here at Roseman Law, Mr. Velasquez has stated that the family nature of the firm and collaborative approach to advising on legal issues has contributed to the firm’s clients receiving superior service and work products.

Prior to practicing law, Mr. Velasquez had more than a decade of experience working with companies ranging from small family-owned businesses to large multi-national corporations. During that time, his focus was mainly on accounting, successfully performing a wide variety of functions within that sphere.

Mr. Velasquez graduated from the University of California at Irvine with a bachelor’s degree in political science, making multiple appearances on the Dean’s list. He earned his Juris Doctor with a concentration in corporate law from Loyola Law School, Los Angeles, where he was a member of the Business Law Society and participated on the Loyola Law School Transactional Negotiation Team and Loyola’s International Commercial Arbitration Moot.

Philip Wahlquist, Esq.

Phil Wahlquist is an associate attorney with Roseman Law, APC. Phil previously worked for Deloitte Tax, LLP where he advised and consulted clients in California state tax matters, including tax planning and tax controversy. Mr. Wahlquist was also a Real Estate Associate at Ervin Cohen & Jessup, LLP, where his practice involved a wide range of real estate transactions, including acquisitions, dispositions, and leases of office, retail, residential, and other classes of real estate assets.

Phil earned his Bachelor of Arts in Economics from the University of California, Berkeley and his Juris Doctor from the University of California, Davis. Outside of his legal practice, you can find Phil on the golf course, the tennis court, or on a trail run.

Vivian Tran, Esq.

Vivian Tran brings over a decade of legal expertise to Roseman Law, APC. Her practice is defined by a sophisticated background in HOA, complex business, real estate, and employment law. Notably, she served as the handling attorney for a world-renowned tech company in a high-stakes breach of contract dispute with damages exceeding nine figures.

As corporate counsel, Ms. Tran provides strategic guidance to residential and commercial boards on statutory compliance, employment-related disputes, and the administration of governing documents. Her comprehensive advisory services include interpreting, enforcing, and amending governing documents, negotiating and drafting complex contracts, covenants, and easements, implementing proactive, preventative litigation measures designed to mitigate legal exposure, and representing clients in alternative dispute resolution (ADR), high-stakes settlement negotiations, and third-party vendor conflicts.

A licensed mediator, Ms. Tran has refined her negotiation skills through the Program on Negotiation (PON). She also served under Chief Judge Ronald H. Sargis at the U.S. Bankruptcy Court, Eastern District of California as a judicial extern and co-mediated 1983 Civil Rights cases alongside Magistrate Judges Kendall J. Newman and Craig M. Kellison.

Ian Braschler, Esq.

Ian V. Braschler, Esq., is an Associate Attorney with Roseman Law, APC. Prior to joining the firm, he gained experience at an international law firm in San Francisco, focusing on corporate counsel and complex commercial transactions. Mr. Braschler now applies this transactional and advisory background to his practice representing homeowners associations and other common interest developments.

Mr. Braschler earned his Juris Doctor from Vanderbilt University School of Law in 2023 and holds a Bachelor of Science in Psychology from the University of Washington. He has been a member of the California State Bar since 2023.

In his free time, Mr. Braschler enjoys spending time with his fiancée, watching movies, and caring for his pet rabbits.

Kelly McCullaugh, Esq.

Kelly Mary O’Bryan McCullaugh, Esq., is an Associate Attorney with Roseman Law. Kelly has specialized in all aspects of litigation for the past 8 years. She is a former college athlete who knows the value of commitment and a long-term work ethic.

Leena Gurnick, Esq.

Leena Gurnick is an attorney with the law firm Roseman Law, APC. In her role at Roseman Law, Ms. Gurnick provides comprehensive legal assistance to community associations. Serving as corporate counsel, she focuses on transactional matters including drafting and reviewing governing documents, contracts, and compliance policies. Additionally, Ms. Gurnick advises volunteer board members on the interpretation, enforcement, and application of governing documents and relevant laws.

Ms. Gurnick’s active involvement in public affairs further enhances her ability to serve community associations. She is an engaged member of the Legislative Support Committee of the California Legislative Action Committee for Coachella Valley, where she reviews legislation and national initiatives affecting homeowner associations.

Prior to joining practicing law, Ms. Gurnick gained valuable experience as a White House Intern in Washington, DC. While working in the Office of Public Liaison, she coordinated and participated in events focused on economic strategy, taxation, and healthcare. Ms. Gurnick earned her undergraduate degree from the University of Southern California in 2017 and her law degree from Loyola Law School in 2020. She was admitted to the California Bar in 2021.

Outside of her professional work, Ms. Gurnick enjoys playing tennis, competing in Backgammon, and swimming.
